LOYALWINGS ERP – TERMS OF SERVICE

THIS IS AN AGREEMENT BETWEEN YOU OR THE ENTITY THAT YOU REPRESENT (HEREINAFTER “YOU” or “YOUR”) AND GOWTHAM RAJ D, PROPRIETOR OF SALES QUEEN SOFTWARE SOLUTIONS, TRADING AS LOYALWINGS ERP (HEREINAFTER “COMPANY,” “WE,” “US,” “OUR”) GOVERNING YOUR USE OF LOYALWINGS SUITE OF ONLINE BUSINESS ERP SOFTWARE. BY ACCEPTING ELECTRONICALLY (FOR EXAMPLE, CLICKING “I AGREE”), INSTALLING, ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE TO THIS AGREEMENT, THEN YOU MAY NOT USE THE SERVICES. THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF INDIA.

MODIFICATION OF TERMS & CONDITIONS: These terms may be updated from time to time in the future. You should agree to review our Terms and Conditions regularly by visiting this page. Continued access to or use of the service will mean that you agree to the change.

WHEN THIS TERMS STATEMENT APPLIES: Its liability to you is limited to those who have registered for the LoyalWings application by clicking on the “I Agree/Login” button for Terms and Conditions.

TERMS AND DESCRIPTION OF SERVICES: We provide an array of services including Sales Management, Purchase Management, Inventory Management, CRM, Accounting, HR & Payroll, Production, Quality Management, Project Management, Asset Management, Transportation, POS, and File Sharing to serve as a complete business ERP software (“Service” or “Services”). You may use the Services for your personal and business use or for internal business purpose in the organization that you represent. You may access the application from our website using the Internet. You are responsible for obtaining access to the Internet and the device necessary to use the Services. (Side Note: LoyalWings tries its best to make Businesses compliant to taxation and other laws as much as possible. But, it is solely your responsibility to see that you remain compliant with GST, TDS, and other laws levied by Government. LoyalWings is not in any case responsible for the violation of the compliance caused by software). For the software subscription services purchased on LoyalWings, the validity of the license period shall commence on the date of purchase. LoyalWings reserves all rights to modify the pricing and features at any time.

BUSINESS DATA AND PRIVACY: You alone are responsible for maintaining the confidentiality of your username, password and other sensitive information. You are responsible for all activities that occur in your user account and you agree to inform us immediately of any unauthorized use of your user account by email to support@salesqueen.org or by calling us on +91 6369727903. We are not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise. We are neither responsible for any kind of data loss as performing necessary backups on data is solely your responsibility. LoyalWings is not responsible for any kind of data discrepancy or any type of loss occurred due to data discrepancy/software issue. LoyalWings is not a data storage software. It is a reporting and analytics platform. You must take care of your own data and have the option to export the data from every table. In LoyalWings we have connected with multiple third party integrations for automation and clear reporting. So data will be handled by third parties also according to their privacy policies.

DATA OWNERSHIP: You own the content created or stored by you as we respect your right to ownership of content created or stored by you. Your use of the Services does grant LoyalWings the license to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for LoyalWings internal purpose including marketing and data analysis. LoyalWings tries keeping users data safe but holds zero responsibility in case of data leaks, hacking, data scrapping, or misuse. Any data lost due to hacking, data scrapping, mis use or data breach, LoyalWings is not responsible for that. It is your responsibility to keep your data safe and to maintain a copy of this data. If any issue happened due to your data, you are the legal responsibility of that. Any penalty to be paid, you must pay that. We will use your data for marketing and other data analysis things. You need to give your user id and password any time if we ask, LoyalWings have permission to check your data in this software any time for support and maintenance purposes.

REFUND, CANCELLATION, AND RENEWAL POLICIES: Eligibility for Full Refund: Customers who submit a refund request via email to support@salesqueen.org within 7 days from the date of purchase will be eligible for a refund subject to approval. Method for Requesting Refunds: To initiate a refund, please submit your request through email with valid reason and must get approval from LoyalWings. Refund amount will be returned to you in terms of points or cash based on Sales Queen Software Solutions decisions. The refund will be credited after 30 working days, minimum, not immediately. Any transaction charge from third party will be claimed during discount in the name of service charge. Other Refund Policies for Purchases: Our refund policy applies exclusively to new purchases. Non-Refundable Convenience Fees: Please note that convenience fees and payment gateway charges are non-refundable in the event of a refund. Manual Renewal Process: Our system does not automatically renew licenses. For continued service, you are required to manually renew your license at the end of their validity. You must renew payment before renewal date. During renewal the price may be same, increase or decrease, based on market change. Only software is covered in price mentioned in pricing plan, where as support or demo or guide is not covered. If you demand teaching support or guidance from our team sometime it is under paid service.

SERVICE COMMITMENTS AND SUPPORT: Expected up time is 99% where we are using cloud server located in India currently. If server has some issues, we are able to handle that situation. So you must wait in that time. Our support timing will be 10 AM – 6 PM, Monday to Saturday. It is a subscription software. Every year you need to renew. For customization in feature and support our company will give different price to different clients. Since this software keeps on updating sometime data will be shown publicly. After agreeing this you pay us. We are not a service based company or LoyalWings is not a customized software. It is a product. If you need some feature which is very small, that is not affecting the work flow means after consideration we will do it charge based on hourly basis. Any bigger flow change or any bigger feature will not be done if management restricts. Any data loss due to removal or updation of software feature means you need to reupdate those data manually. We have all right to add or remove feature anytime. There are no other company who will get copyright or power in this software. LoyalWings have all permission to remove or add data in your software any time for maintenance and updates.

REFERRAL AND PARTNER PROGRAM TERMS: For users who choose to participate in the LoyalWings Referral Program. By applying to the Program, you agree to these additional terms. Program Enrollment is free, requires no investment, and is subject to our approval. You will receive a unique tracking link. Commission is earned only on a first-time paid subscription from a new customer completed directly through your tracking link. Already registered customer will not be taken into account. Commission Definition: Base commission percentage is on Net Collected Revenue (after taxes, refunds, payment fees). We have right to change the commission anytime, with or without prior intimation. Referral partner can able to see the updated commission percentage in partner dashboard. Recurring commissions also change anytime, based on years and commission structure. No commission is payable on: Free plans, Internal/demo accounts, Cancelled or refunded subscriptions. Payment eligibility is based on the refund days. For referral amount will be credited to bank account after 30 days of refund period completed. Payment will be calculated based on our customer refund policy we will credit the payment as per Company payout cycles. Payment Terms: based on that days commission only payout will be done. Minimum payout is 5000 INR via bank transfer or UPI. Fraudulent sales like giving false commitment, using our company name without authorization will lead to termination and forfeit of all commissions. You shall not collect payments from customers unless expressly authorized. All payments must be made directly to the Company. Unauthorized collections may lead to immediate termination. Product pricing is fixed by the Company. You must clearly disclose your affiliate relationship. You are not a partner or owner. No ownership to our product. We can terminate you anytime. If reseller needs to leave means, post-termination obligations apply. We have right to audit their sales. Role of Reseller is not partner, not owner, not employee. No Warranty by Reseller. No access to customer portal for reseller. Onboarding Kit: we will provide brochure, videos. We are not responsible for any direct or indirect loss for reseller. No investment needed. Leads will not be provided from us. The Company retains full rights to communicate directly with customers. No amount will be provided for your marketing purposes. Implementation, onboarding, and technical support are provided by the Company and commission will change for this.

LIMITATION OF LIABILITY AND INDEMNIFICATION: YOU EXPRESSLY UNDERSTAND AND AGREE THAT THE USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN AS-IS-AND-AS-AVAILABLE BASIS. COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. COMPANY MAKES NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR FREE. USE OF ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE USE OF THE SERVICES SHALL BE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE TELEPHONE, WIRELESS DEVICE OR DATA THAT RESULTS FROM THE USE OF THE SERVICES OR THE DOWNLOAD OF ANY SUCH MATERIAL. NO ADVICE OR INFORMATION, WHETHER WRITTEN OR ORAL, OBTAINED BY YOU FROM COMPANY, ITS EMPLOYEES OR REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE AGREEMENT. YOU AGREE THAT COMPANY SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL COMPANY’S ENTIRE LIABILITY TO YOU IN RESPECT OF ANY SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED FIFTY THOUSAND RUPEES (₹ 50,000). NO LIABILITY FOR YOUR BUSINESS LOSS, PROFIT LOSS, INCORRECT DATA, DATA BREACH, INTERNAL CONFLICT OR ANYTHING. YOU ARE FULLY RESPONSIBLE FOR ALL DATA IN SOFTWARE. IF WRONG DATA FOUND, YOU MUST TELL THE LOYALWINGS COMPANY FOR ERRORS OR BUGS OR ANY SIMILAR THING BEFORE APPROACHING GOVERNMENT OR ANY THIRD PARTY. IF DATA LOST DUE TO NATURAL DISASTER KNOWINGLY OR UNKNOWINGLY WE ARE NOT RESPONSIBLE FOR THAT. IF IN CASE COURT CASE, AFTER SUCCESS FROM LOYALWINGS SIDE, YOU MUST PAY THE COMPLETE COURT AMOUNT TO US. IF WE LOST MAXIMUM PENALTY AMOUNT OF 50000 ONLY CLAIMED FROM US FOR CLAIM OR PENALTY.

GOVERNING LAW AND JURISDICTION: Any controversy or claim arising out of or relating to the Terms shall be settled and adjudicated exclusively by the courts of Chennai in accordance with the laws of India without regard to conflict of law principles. Any legal case will be in the Madras judiciary court only.

MISCELLANEOUS: The payment brochure shared from sales team is excluding tax. All bills from us will be added with service tax in India. Our company registered in Chennai, Tamil Nadu. GST number 33CWOPR8600P1ZR. If in case of trial or demo, you must get prior approval. In last minute trial may get cancelled during heavy schedule. You must save your password safely. Customer get limited and not transferable license, any time we can cancel it. No reverse engineering, resale or redistribution of our software. Without prior notice we can cancel the software license. If you are the one using the software, you must accept all terms and conditions. Automatically marked as accepted when you use the software.
